1. Acceptance of Terms

By accessing or using TonalBrain ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

2. Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you may only use the Service with the consent of a parent or legal guardian.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. TonalBrain is not liable for any loss or damage arising from your failure to protect your account information.

4. Purchase Terms

4.1 One-Time Purchases

TonalBrain uses a credit-based system. Credits are purchased as one-time payments — there are no subscriptions, monthly fees, or automatic renewals. Each purchase adds credits to your account balance immediately upon confirmation of payment.

4.2 Payment Authorization

By completing a purchase, you authorize TonalBrain to charge your payment method for the stated amount. You agree to provide accurate, complete, and current payment information.

4.3 No Refunds

All credit purchases are non-refundable once the credits have been applied to your account. If you experience a technical issue that prevents you from using purchased credits, please contact us and we will work to resolve it.

4.4 Credit Expiry

Purchased credits do not expire. New accounts receive 25 free credits upon registration, which also do not expire. TonalBrain reserves the right to modify pricing for future credit packages at any time, but previously purchased credits are not affected by price changes.

5. License Grant & Usage Limits

5.1 License Grant

Subject to your payment of applicable fees, TonalBrain grants you a limited, non-exclusive, non-transferable license to use the TonalBrain audio plugin in accordance with these Terms.

5.2 Device License Limits

Your TonalBrain license covers use across your own personal devices using a single account. Sharing your account credentials or license with others is prohibited.

6. Intellectual Property

6.1 TonalBrain Ownership

The TonalBrain plugin, software, and all related technology are owned by TonalBrain and are protected by copyright, trademark, and other intellectual property laws. You do not acquire any ownership rights in the plugin itself.

6.2 Your Audio Content

You retain full ownership of all audio content you create or process using the TonalBrain plugin. TonalBrain AI does not claim any rights to your music, recordings, or any other creative output.

7. Prohibited Uses

You agree not to:

Reverse engineer, decompile, or attempt to extract the source code of the plugin
Modify, adapt, or create derivative works based on the plugin
Share your account credentials or license with others
Use the plugin on more devices than your license allows
Circumvent any technical protection measures or licensing mechanisms
Use the Service for any illegal or unauthorized purpose

8. Termination

TonalBrain may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Termination does not relieve you of your obligation to pay any fees accrued prior to termination.

9. Limitation of Liability

To the maximum extent permitted by law, TonalBrain shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or loss of business opportunities, arising from your use of the Service. In no event shall TonalBrain's total liability exceed the amount you paid in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless TonalBrain, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or your violation of these Terms.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under these Terms shall be resolved through binding arbitration, except that you may assert claims in small claims court if your claims qualify.

12. General Provisions

TonalBrain may revise these Terms at any time. The revised Terms will be effective immediately upon posting. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
